Summary of Module Content:

This module will enable you to understand the fundamental legal principles of corporate, business and governance practices, to present ethical and legal thinking in business decision-making, and to cover major contemporary, international, and global topics in business law and ethics. This module is designed to help you in understanding business law and ethics which is about relationships, values, justice, and identity, and concern the intersection between business, law and ethics and is fundamental to the relationships between business and society at large.

This module provides you with a framework to thoughtfully and objectively analyse and then sort through complex issues in order to make decisions that matter – ethically, economically, socially, legally, and spiritually, as well as an overview of the concepts, processes, mandatory and voluntary business practices. It also provides a concrete framework for analysing and discussing a wide range of legal and ethical issues and expands stakeholder analysis to incorporate a values-driven approach to thinking about the corporate world.

Module Aims:

1. To provide an introduction to business and company law related subjects and its application in organisations.

2. To enable you to apply the principles of corporate governance in an global/organisational context.

3. To explore and reflect on ethical situations and issues in a professional and organisational context.

4. To develop an understanding of the social context in which an organisation operates.

1. Demonstrate an understanding of the fundamentals of the English legal system and company law related subjects.

2. Understand company law subjects, corporate governance and ethical issues within an international context.

3. Recognise and respond in a mature and reflective manner to ethical conflict and turbulence in their professional careers and the workplace.

4. Understand philosophical theories and ethical guidance and advice.

Samuel has just graduated from the University of Business and has applied for a three week internship with a commercial law firm called London Law

Samuel has just found out that he has received an invitation to interview for an internship. Samuel is aware that if he impresses members of the various departments at London Law it may lead to a training contract at the firm. Samuel has been told by Deb, the HR Manager at London Law, that during the internship, the successful candidate would spend time in each of the following two departments: Employment Law and the Company Law Division. As part of the interview process, Samuel is given a set of questions. One question relates to the two departments in which he would work during his internship.

Samuel is asked the following:

Discuss the broad historical structure of UK Employment Law and indicate who you think UK Employment Law favours – either employers or employees (1000 words).

Discuss the fundamental features of the formation of the Company in the UK (1000 words).

Critically discuss the extent to which corporations take Corporate Social Responsibility (CSR) Seriously.

In your answer you should draw on both the UK and International framework for CSR.
